Infrastructure projects, concession and PPP (MPP) agreements

We advise on all matters relating to concession and PPP (MPP) agreements and support for infrastructure projects in various sectors of the Russian economy at the federal, regional and municipal levels. Some of our projects are one of a kind in the market.
We support our clients through the entire lifecycle of the project, from the development of the project strategy and concept, its legal "architecture" (including determination of the legal and organisational structure), preliminary negotiations, preparation of all necessary project documentation, selection (or identification) of an investor for the project (both with and without competitive bidding, including based on private initiative) to the commercial and financial completion of the project.

In addition to our successful work on domestic projects, our team has experience in preparing and implementing international PPP and similar projects abroad, including in the CIS, Central Asia and the Caucasus.

Infrastructure projects based on PPP, special investment contracts, offset and owner-operator contracts and other quasi-PPP models

Our team has extensive experience providing transaction support for the manufacturing projects of various types of businesses and business structures, for example, the creation and modernisation of manufacturing facilities based on the PPP Law using quasi-PPP models, including in economic sectors such as heavy industry, metallurgy and shipbuilding.

We also assist in the implementation of projects to create and modernise manufacturing facilities using Build-Own-Operate-Transfer contracts and offset purchase contracts and in the area of state and owner-operator contracts in any industry.

Investment disputes

Working together closely with our colleagues from the dispute resolution practice, we provide support for complex legal and arbitration proceedings involving investments throughout all stages of the process, including pre-trial settlement procedures.

Thanks to our experience structuring all types of investment contracts and our active participation in the drafting of legislation, we have a firm grasp of all the fine points of the Russian and foreign legislation applicable to such projects and also have our finger on the pulse of the current positions of the courts and state authorities.

Our unparalleled knowledge of all stages and levels of PPP project implementation practices makes it possible for our team to successfully represent our clients' interests during court and antitrust proceedings and disputes and to advise them on all monitoring and oversight issues.

Legislation initiatives concerning PPP in Russia, the CIS, Central Asia and the Caucasus, GR

Our team has unique experience in drafting laws and preparing strategic papers, including as part of national legal and institutional reforms, as well as experience working with government agencies. We have been active, hands-on participants in the development and reform of the legislation governing the preparation and implementation of PPP infrastructure projects in Russia and neighbouring countries. Among other things, our experience includes advising the government agencies of Russia and a number of foreign countries on issues related to the most significant PPP legislative reforms and pilot projects.

Our lawyers regularly assist in the preparation and analysis of draft laws of key importance for the market, in the work of the committees, working groups and expert boards of the state authorities. We share our comments and opinions on current legislative issues through expert sessions in Russia, the CIS countries, the EAEU, and other countries.

Analytical services and seminars

Our lawyers are members of the expert boards of the Interparliamentary Assembly of Member States of the Commonwealth of Independent States and other expert organisations and groups, are involved in drafting model legislation and guidelines, carry out analytical work, and participate in the preparation and implementation of socially significant and other strategic initiatives.

We also hold educational seminars and professional advisory sessions for business and government representatives, students, researchers and scholars under our initiatives to develop the PPP market of Russia and the CIS countries.
